PwC’s Digital Learning Solutions Team integrates high level e-learning courses developed by PwC experts globally in the fields of finance, accountancy, tax, law, human resources, internal audit, controlling, management and business skills, with the commitment to help develop business leaders and experts of the future and help enterprises stay ahead of competitors.
The purpose of present Terms and Conditions ("Terms") is to define the terms of use for the PwC Digital Learning Solutions platform ("Site") operated by PricewaterhouseCoopers Auditing Ltd. (registered office: 1055 Budapest, Bajcsy-Zsilinszky út 78., company registration number: 01-09-063022; "PwC"), accessible via the https://pwcexe.csod.com/login/render.aspx?id=pwcdlssubscription link. It outlines the rights and obligations of PwC and the Customers regarding the use of the Site, as well as all rights and obligations related to subscription on the Site.
Terms and conditions for acquiring and use of PwC Digital Learning Solutions e-learning subscription
Please carefully read and accept the following terms and conditions (“Terms”) before purchasing team subscription licences and accessing the site and the e-learning courses. By accepting the Terms, you acknowledge that you have read, understood and agreed to be bound by them and to comply with all applicable laws and regulations, including relevant copyright laws.
For purposes of this site, the terms “PwC”, “PwC Digital Learning Solutions Team”, “we”, “us” refer to PricewaterhouseCoopers Auditing Ltd. the terms “you” and “your” refer to any legal entity intending to purchase, purchasing and using the PwC e-learning subscription.
E-Learnings are electronic and interactive “click-through” training materials prepared for specific training and learning purposes that can (only) be accessed and used by authorised users online through the site.
These Terms lay down the principles for buying access to, accessing and using the PwC e-learning courses, prepared and made available, as amended from time to time. Unless a separate agreement of the parties provides otherwise, the following terms and conditions shall be applied.
The Terms of the legal relationship between the Customer and PwC for the fulfilment of all orders placed on the Site are governed exclusively by these Terms, PwC expressly excludes the application of any general or specific contractual terms and conditions applied by the Customer. Any terms and conditions applied by Customers under the general terms and conditions that are contrary to the provisions of these Terms, or that are additional to the provisions of these Terms, or specific terms and conditions that Customers wish to apply, shall only apply to orders placed on the Site if PwC expressly confirms in writing its acceptance and applicability of the provisions concerned. PwC’s express written confirmation as detailed above shall be considered as the condition required for the stepping into force of the contract and the date thereof shall be the commencement date of the subscription period.
1. Technical pre-conditions
PwC e-learning courses can be bought online through the Site and accessed online according to the below Terms. Certain technical requirements (see: https://www.pwc.com/hu/en/academy/assets/e-learning_minimum_requirements_en.pdf) must be met in order to run the Site properly on your computer and have access to the e-learning courses. If you would like to access the Site on your work computer, certain client’s side settings may restrict running of the Site and certain online materials.
2. General provisions
1. Only legal entities, natural persons who do not qualify as consumers, i.e. legal entities acting in the course of their profession, self-employed occupation or business activity, or organisations without legal personality entitled to use the subscription available on the Site, may order on the Site
a) who are established in the European Union or have a tax number issued by a Member State of the European Union
b) for whom the use of English is acceptable, given that the e-learnings are only available in English.
3. Purchasing the e-learning, technical steps of conclusion of the contract
1. Available e-learning courses. The list of available e-learnings is set out under “Browse for training tab” on the Site.
2. Ordering process. You may submit an order by filling out the “Order Form”. Upon receipt of the subscription request, PwC is obligated to carry out risk management and independence procedures. In order to ensure PwC complies with independence and risk management requirements defined by the professional standards relevant to our audit engagements, our policies require that we complete internal documentation to record the non-audit relationship that is created through the PwC Digital Learning Solutions Service. This process is expected to be completed within 10 business days in most cases. The completion and submission of the Order Form to PwC does not constitute as a contractual obligation.
3. Acceptance of these Terms. By placing an order, you acknowledge the applicability of these Terms. By sending the order, you are making a binding offer to contract from your side.
4. Entry into force of the Contract, access to the e-learning module(s). If the risk management and independence procedures described above in Point 2 are successfully completed, PwC will send the Customer a Declaration of Acceptance informing them of the conclusion and content of the contract. At the same time, PwC will provide the Customer with the number of usernames and passwords in accordance with the order and issue the respective invoice for the subscription service.
5. Correction of the order. Should any data be incorrect or incomplete or should your order contain any other mistake, please contact us without delay at gbl_e-learning_webshop@pwc.com
6. Updating your information. You must ensure that the details provided by you are correct and complete. You must inform us immediately of any changes to the information that you provided when registered by updating your details in order that we can communicate with you effectively.
4. Payment and invoice
1. Payment. Upon confirmation of your order, you will receive the invoice for the subscription service with payment due in 14 days. If payment is not received for the invoice within the required timeframe the access codes provided by PwC will be cancelled and access to the subscriptions will cease. You will nevertheless be responsible for the payment of the invoices.
2. Purchase price. You undertake to pay the purchase price of the e-learning you chose to acquire. The amount of the purchase price is indicated under the e-learning offerings listed at the PwC’s website and the order you submitted. The prices stated on PwC’s website are current at the time of placing the order.
3. Payment. All payments must be rendered via bank transfer and must not incur any extra charges for us. The obligation to pay exists irrespective of the actual viewing of the e-learnings, accessing of the subscriptions, unless access is not possible due to reasons attributable to us.
4. Taxes and deductions.
PwC’s fees are exclusive of taxes or similar charges, as well as customs, duties or tariffs imposed in respect of the services, all of which client shall pay.
PwC’s services which are provided to entities established and/or VAT registered in Hungary will be charged with VAT included. This also covers services which are rendered to the Hungarian fixed establishment of foreign entity.
PwC’s services which are provided to entities which are not established and/or not VAT registered in Hungary will be invoiced with net of VAT.
5. Invoice. We will send you the invoice electronically issued through our invoicing system to the billing address indicated at the Order Form. The following data required to issue an online invoice: company name, billing address, and VAT registration number.
5. Delivery
1. Access to the e-learning. Based on the guidelines contained in the "Self-registration manual", your employees can access the e-learning with the User IDs provided by PwC. The employees must self-register with the personal access codes granted for them, upon the first accessing of the e-learning library. You may only grant access or provide the access codes to your employees (“Participants”). For granting access or providing code to any other person or entity, the prior express written consent of us is required. In the lack of such approval, such granting of access is considered a serious breach of contract and results in full indemnification and compensation obligation, and further the cancellation of all subscriptions automatically, without any further processes or the obligation of any compensation on our side.
The courses may be accessed by clicking on the course name in the list under the “View your training record” menu. The courses are available for 12 months at any time within this timeframe and available for unlimited repetitions.
2. Helpline. In case of any technical issues with accessing e- learning please first read the Frequently Asked Questions under the Help tab on the Site. You may report technical issues and ask for technical help at gbl_e-learning_webshop@pwc.com.
3. Successful completion of the e-learnings: Before starting our e-learning courses, please carefully read the information for participants posted on the course interface. Participants must navigate through the e-learning course (or in the case of courses consisting of several modules, each module) at least once. The course (module) will be completed when the Participant reached the closing screen and closed the navigation window to return to the status screen, where the course (module) will be set to “completed”.
4. Credit points. After successful completion of the e-learning, you can download the Certificate of completion from the system. The Certificate of completion contains information on CPD hours earned based on a 50-minute hour.
5. ACCA CPD certificates: By completing our e-learning courses, Participants can also earn ACCA CPD credit points. Participants will have to report to ACCA themselves the time spent on completing an e-learning course. 6. Cancelling/withdrawing from purchase and early termination
1. Cancelling or withdrawing an order. Cancelling or withdrawing from a purchase must be done in email to gbl_e-learning_webshop@pwc.com. After accessing the e-learning, you may not cancel/withdraw from the contract. Once you receive the access codes to the subscription, refunds cannot be made.
2. Termination of access. Your Participant’s access to the e-learning service may be terminated by written notice if you are in material breach of these Terms and the breach is not remedied within the period of 5 days after written notice of the breach has been given to you. If we reasonably believe your breach of these terms affects our lawful operation of the service or third-party customers, we may suspend your and the Participants access to the service and the Site at any time.
7. Intellectual property rights, use of the e-learning
1. IP rights. We will own the intellectual property rights to the e-learning as well as to all content published on this Site (images, logos, text, etc.)
2. Upon receipt of the purchase price of the e-learning we grant you a non-exclusive, non-transferable, time-limited right to use the Site and gain remote access to the purchased e-learning for your employee’s learning, training and information purposes.
3. Restrictions on use. The e-learning courses, including any training materials, are intended solely for those for whom access rights have been purchased and cannot be disclosed in any manner or form to any third parties, except (i) with our prior written consent on terms to be agreed, (ii) where required by law or regulation. Neither you, nor the Participants are allowed to use any e-learning, all or fragments of any training material for any other purposes than for their own learning purposes. Fragments of or the entire content of the e-learning may be disclosed to, reproduced or used by third parties with our written approval only. In particular you must not: republish materials; show any material in public; sell, distribute, reproduce, duplicate, copy or otherwise exploit material for a commercial purpose; or edit or otherwise modify any material.
4. Purpose of the e-learning, limitations. The e-learning courses have been prepared for general information purposes. We shall not be liable for any decision made on the basis of or with reference to these. None of the material is, or should be regarded as the provision of advice, any content, materials, information and knowledge gained through the e-learning is done at your own discretion and risk. Accordingly, no person should rely on any of the content, without first obtaining specific advice for any particular case. PwC accepts no responsibility for any person who acts or relies in any way on any of the e-learning courses or materials without first obtaining specific advice.
5. Personal development of the participants. The training has been developed to support personal development of participants and not to be relied upon by their employers in making sure that they have skills sufficient to perform their jobs, become part of the client's process, control environment or an employer’s development plan of an employee.
6. The Site may provide links to websites and access to their content. The provision of such links and content is not an endorsement of any information, content or service accessed through such links. Unless otherwise stated specifically, reference to any names, products, organisations, or other information by trade name, trademark, or otherwise does not constitute or imply its endorsement, sponsorship or recommendation by us, nor is endorsement of the Site implied by such links. They are for training reference and learning purposes only and do not indicate the existence of a partnership or joint venture between PwC and the owners of the linked site. PwC does not accept any responsibility for the correctness of the information on linked sites, nor does it accept any liability (jointly or otherwise) for the Participant’s inability to access such sites through the Site or for any losses suffered as a result of incorrect information on the linked site. The Site and all its content, materials and information are provided on an "as is" and "as available" basis.
8. Certificates and diplomas
1. Upon the full and successful completion of certain e-learning courses, Participants may receive acknowledgement and/or proof of participation in the form of a certificate, depending on the course.
2. No certificate will be distributed unless a Participant has completely fulfilled all requirements of the training indicated on the certificate.
9. Liability
1. Liability to you alone. We accept no liability to anyone, other than you, in connection with our services and deliverables, unless otherwise agreed by us in writing. You agree to reimburse us for any liability (including legal costs) that we incur in connection with any claim by anyone else in relation to our services.
2. Limitation of our liability. You agree that we will be liable only when we are at fault for our actions or omissions. Our total liability (including interest) for all claims connected with the provision of the e-learning and our services or our agreement is limited to the purchase price payable for the subscription or the actual damages whichever is the lesser. Any liability of PwC for losses and damages constituting lost profits (lucrum cessans), anticipated savings and for all possible indirect and consequential losses, arising in connection with our services, shall be excluded.
3. Different interpretation, practice or change in law. The e-learnings are intended to provide general information, we exclude all liability for damages emanating from different legal interpretations of authorities, courts or other third parties, different legal practice and future changes of law.
4. No claims against individuals. You agree to bring any claim in connection with the e-learning and our services only against us, and not against any individual, however described.
5. Further restriction on claims. You undertake not to bring any claims in respect of the e-learning and our services against any other PricewaterhouseCoopers member firm (its partners, employees, members of its bodies) or PwC’s contributors.
6. Your expectations. PwC does not assume any liability for your expectations regarding the content of the e-learnings, we make no promise that the e-learning courses are appropriate or suitable for your purposes and will meet your exact learning requirements. PwC does not assume any liability that successful knowledge transfer will take place and for any success expected from the training (such as admission to exams, passing of exams, etc.).
7. Content. While we try to ensure that all content provided by PwC is correct at the time of publication, however no responsibility is accepted for any errors, omissions or inaccurate content of any materials, in particular for matters arising from changed circumstances. Although every reasonable effort has been made to ensure the accuracy of the information contained in the Courses, it may include inaccuracies or typographical errors. PwC's Digital Learning Solutions Team is entitled to change and/or update from time to time the e-learning courses to remedy such inaccuracies or typographical errors.
8. Warranty. We make no warranty that the Site will be available on an uninterrupted, timely, or error-free basis. Your and the Participants’ access to the service may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the service as soon as we reasonably can. PwC Digital Learning Platform warrants that to the best of our knowledge and belief, the e-learning courses complied with the description provided at the date of first availability. Any mandatory and applicable legal guarantee - such as the guarantee of conformity as well as the guarantee of hidden defects - applies to the e-learning courses. Any other legal warranties (which are not mandatory) do not apply.
9. Report of defects. We cannot guarantee that the service will be fault-free. If a fault occurs with the service, you should report it to gbl_e-learning_webshop@pwc.com and we will attempt to correct the fault as soon as we reasonably can.
10. Forbidden activities. You must not use this Site in any way that causes, or may cause, damage to the Site or impairment of the availability or accessibility of the Site; or in any way that is unlawful, illegal, immoral, fraudulent or harmful. You must not seek to circumvent access or security controls or otherwise threaten the security of the Site.
11. Risks of the internet and other risks. You acknowledge and accept that use of the Site is subject to the risks inherent in any connection and transmission on the internet, in particular in relation to security risks and vulnerabilities, technical performance and risk of interruption. Accordingly, PwC shall not be liable in any circumstances for any losses or damages caused by disruption or failure of internet networks, by reason of a virus, security related vulnerability, or technical or operational failure of any nature, due to third parties failing to meet their obligations or resulting from unauthorized persons interfering with the Site.
PwC does not warrant that defects will be corrected or that the service or the server makes it available are free of viruses or bugs. You acknowledge that it is your responsibility to implement sufficient procedures and virus checks (including anti-virus and other security checks). PwC shall not be liable for any losses arising in connection with no appropriate security applied by you for logins and access passwords or making the Site available to unauthorized persons.
12. Archive. PwC shall not undertake to store any archival backup copies and shall not offer the possibility of recreating them in the event of data loss.
13. Updates. We may make changes or alterations to the contents and methodology of the e-learning courses at our own discretion from time to time. However, we shall not update the already provided and/or accessed e-learning for any changes in law or regulations, or their interpretation or otherwise, that occur after your receipt of access right to the e-learning. We reserve the right to make changes or updates to the Site at any time without notice.
14. Indemnity. You hereby indemnify PwC and undertake to keep PwC indemnified against any losses, damages, costs, liabilities and expenses (including legal expenses) arising out of (a) your use of and access to the Site; (b) any breach by you of any provision of these Terms or arising out of any claim that you have breached any provision of these Terms; and (c) your breach of any third party right, including without limitation, any intellectual property, confidentiality or privacy right.
10. Confidentiality
Confidentiality. We and you shall undertake to use each other’s confidential information only in relation to the purchase of the e-learning and not to disclose it without prior written consent, except i) where required by applicable Hungarian or foreign law or regulation, by an authority decision or by a professional body of which we or our staff are members, or ii) to our legal advisors or insurers. However, we may give confidential information to other PricewaterhouseCoopers member firms or relevant contributors or service providers as long as they are bound by confidentiality obligations. The obligations to keep the information – received in connection with the agreement – confidential shall remain in legal effect for five years after receipt of such information unless a longer period is prescribed by relevant law. The above will not apply to information which (i) is publicly available, or (ii) has been received from someone else who owes no duty of confidence in relation to it, or (iii) was already known by the receiving party. It is your responsibility to ensure that this clause is complied with by all persons who have access to the e-learning module(s).
11. Personal data
1. Privacy Policy. Any personal information supplied to PwC as part of any interaction with PwC will be collected, stored and used in accordance with these Terms and PwC’s Privacy Policy at https://www.pwc.com/hu/en/about_us/privacy_commitment.html .
2. Your obligation. You warrant that the information provided by you is accurate and correct and that you will inform PwC of any change to such information.

13. Miscellaneous
1. Subcontractors and contributors. PwC may, in performance of the agreement, use the services of other providers, including other PricewaterhouseCoopers member firms (each of which is a separate and independent legal entity), without having to obtain separate consent from you. PwC shall be liable for the acts or omissions of such third parties as for its own acts and shall remain solely responsible for the services.
3. Amendment of the Terms. PwC may revise these Terms from time to time. Any amendment to these Terms will apply from the date of the publication of the amendment on this website. You agree to be bound by any amendments to these Terms.
4. Partial invalidity. In the event that a provision of these Terms is or becomes invalid or unenforceable, the remaining provisions of the Terms shall be unaffected.
5. Negotiations. If a dispute arises, the parties will attempt to resolve it by discussion and negotiation before commencing legal proceedings.
6. Language of the contract, accessibility. The contract can be concluded in English. PwC does not undertake to file the concluded contract and make it accessible for you after provision of the services. The contract is concluded in an electronic form (it is not a written agreement). We do not refer to any professional code of conduct.
7. Governing law and jurisdiction. Hungarian law will govern our agreement. The Hungarian courts will have exclusive jurisdiction over any dispute, whether contractual or non-contractual.
The present Terms were accepted and published on 1 July 2025.
