Integrating family succession planning into a large private business

Integrating family succession planning into a large private business
  • Case Study

We supported our client in devising a succession planning process, which resulted in a development of a bespoke family constitution.

Client:

One of the largest private businesses in Serbia

Our role:

We assisted our client in defining its approach to succession planning through a series of workshops on corporate governance, corporate vision and strategy. We ultimately co-created a family constitution clarifying who the company approaches succession planning

Country:

Serbia

Setting the scene

The group founder, who established the company over three decades previously, sought to provide a clear path for his family to assume control. The focused was not solely on growing familial wealth, but on driving growth and international expansion.

The owner wanted this transition to be based on a clear mission and defined values—and that the company be recognised for its top-class logistic solutions. Our initial role was to mutually identify the requirement for good governance and rules both for the family and the business.

How we helped

Initially, we reviewed the Group’s corporate governance. We also gained a clear understanding of the history of the founder, company and family through introductory workshops. Furthermore, we conducted a strategic vision workshop to understand the corporate aspirations of the family business to link this with corporate governance and its ability to support growth.

Through the series of workshops, our team developed propositions for a corporate structure to support growth, ambitions as well as defined options for the ownership structure. We summarised our findings into a single document, “the Family Constitution.”

"We assisted our client in succession planning by focusing on establishing clear governance structures. Through a series of workshops, we reviewed current practices and developed a Family Constitution that aligns family values with business goals. This collaboration has positioned the company for a smooth generational transition, equipping them with a clear governance strategy to navigate domestic and international markets effectively."

Impact and potential

This collaboration markedly strengthened our client’s governance, laying the foundations for sustainable growth and international expansion. The bespoke Family Constitution aligned family values with corporate goals for a smooth generational transition.

The company is now better equipped for complexities of domestic and international markets with a clear governance strategy and defined ownership structures and family roles. Working in close partnership with our client, we clarified options for future ownership as well as the involvement of family members in the business. This offers a model for successful family business dynamics and similar inter-generational transitions.
