We partnered with our client to deliver a seamless restructuring process. This involved an initial feasibility study, followed by legal, regulatory, tax, and accounting analysis.

Setting the scene

Our client faced the challenge of optimising their group structure to achieve operational efficiency, regulatory compliance, and cost savings.   

The complexity of the project required addressing legal, regulatory, tax, and accounting implications of the restructure. Our client also required dynamic financial models to support decision-making. 

How we helped

The project had a designated project manager who coordinated all the advisory streams. This project manager acted as a daily touchpoint for our client as we worked closely with them throughout the restructuring process. 

The project was divided into two parts: 

This was overseen by our Tax Team.  We assessed the legal, tax, and accounting impacts of various restructuring steps. This included preparing a scenario where a newly created holding was established. Other scenarios considered mergers and asset transfers.

Our Financial Modelling Team developed a dynamic financial and tax model to compare scenarios, and support decision-making. This dynamic model was an essential tool for our client, providing clarity, flexibility, and actionable insights. The model allowed our client to evaluate the feasibility and impact of different restructuring options. It also supported compliance with regulatory requirements. 

Close collaboration across our multidisciplinary teams was crucial.  By integrating deep legal, tax, accounting and financial modelling knowledge, we proactively addressed potential challenges.
